The Role at a Glance

 

We’re excited to bring on a VP of Tax Law to the Corporate Legal Team.

 

As VP, you will provide strategic leadership as Lincoln’s chief tax counsel regarding tax issues impacting the Corporation. You’ll advise senior management, including members of the finance and business units, by providing expert tax advice, counsel and strategy to the corporation.  You will also maintain knowledge on current and emerging developments/trends related to a variety of tax matters, assesses the impact, and collaborates with executive/senior management to incorporate new trends and developments in current and future strategies.

What you'll be doing

 

  • You’ll contribute to the overall strategic vision for the Tax functional area(s) by providing advice and legal counsel on matters relating to: corporate taxation (US and international), life insurance company taxation, taxation of innovative investments, taxation of reinsurance transactions, regulated investment company, variable separate account and general subchapter M  issues, and executive compensation, corporate travel and expenditures, employee benefits and equity compensation.
  • You will lead and prepare tax opinions on product, corporate and life company tax issues including: new life insurance, annuity, long-term care, disability and accident and health product designs, merger, acquisition, reinsurance and other transactional issues and insurance company tax issues (consolidated group, return positions).
  • You’ll manage tax controversies and IRS ruling requests, including: representing Lincoln in audit proceedings, preparing protests and representing Lincoln at IRS appeals, state and federal tax litigation activity, IRS private letter ruling requests and inquiries, and product remediation requests.
  • You will advise and counsel the actuarial business on reserve assumptions and mortality issues, the impact of new and revised actuarial guidelines and tax issues affecting the variable product hedge program.
  • You will advise and counsel the Finance organizations, including Treasury, related to enterprise capital planning and solvency.
  • You’ll lead the management of all retained outside counsel for Tax matters including selection and monitoring their results.
  • You’ll serve as a “thought leader” in representing Lincoln to positively influence industry tax groups in the development of tax policy and managing industry responses to state and federal tax issues. 

 

What we’re looking for: 

 

Qualifications:
Education:  

  • Bachelor’s degree and a J.D. from an ABA accredited law school and a member of the bar in good standing in at least one state.  LLM in tax is preferred but not required.

 

Must- have experience: 

  • 12+ Years of progressive law experience at a large law firm and/ or corporate legal department focused on tax law.
  • 5+ years of demonstrated experience influencing key stakeholder experience.  
  • Demonstrated strong relationship management skills with internal clients (e.g. senior/executive management, peers and colleagues); proven ability to develop creative and collaborative approaches.

Work Arrangement:

Hybrid/Home : Employees will work from home generally three days each week and come into a Lincoln office on a schedule their manager will help set, following any applicable in-office training period determined by their manager.
